Constitution and By-Laws
of the
Dansville Community Athletic Association
Article I: The name of this organization shall be the Dansville Community Athletic Association.
Article II: This group shall be a non-profit organization under the laws as governed by the State of Michigan.
Article III: The objective of the Dansville Community Athletic Association shall be to provide support for, and to promote Dansville athletic activities for Dansville children, as determined by the Association.
Article IV: Meetings are open to all persons 18 years and older who have an interest in Dansville’s youth athletic programs.
Article V: All Officers and Commissioners shall be voting members.
Article VI: The elective officers shall consist of a President, Vice President, Secretary, Treasurer, Website Manager, Football Commissioner, Baseball Commissioner, Softball Commissioner, Boys Basketball
Commissioner, Girls Basketball Commissioner, Cheerleading Commissioner, Wrestling Commissioner, Soccer Commissioner, Instructional Soccer Commissioner, and the Volleyball Commissioner.. The Executive Board shall consist of the President, Vice President, Secretary and Treasurer, these being the Executive Officers. Commissioners are not excluded from being a member of the Executive Board.
Article VII: Officers shall be elected for two years from the membership at the August meeting. Officers may be re-elected.
Article VIII: The duties of the officers: The President shall be the Executive Officer of the organization and shall preside at all meetings. The President shall appoint all standing and special committees. It shall be the President’s duty to carry out the objectives and will of the organization, as expressed at regular and special meetings, and, in general, to conduct the affairs of the organization in a manner consistent with the authority and responsibility pertaining to his/her office.
The President shall have the power to call for secret ballot votes on any issue, either through his/her own discretion, or at the request of the membership.
The Vice President shall assume the duties of the President in his/her absence and shall perform additional duties requested by the President. In the event that the President should resign or be removed from office, the Vice President shall assume the office of President and the members shall elect a new Vice President.
The Secretary shall keep the minutes of the organization and shall provide a permanent record of minutes in binder form. He/she shall keep a correct list of names, addresses, and phone numbers of all members. He/she shall conduct the correspondence of the organization (with a copy of all correspondence being retained for the permanent record) and shall perform additional duties as requested by the President.
The Treasurer shall receive and keep accurate account of all monies obtained by the organization. Bookkeeping records shall be kept in an approved manner. A checking and/or savings account for the organization shall be kept in a bank approved by the organization in complete and proper form.
The various Sports Commissioners shall answer to the Executive Board, and shall be responsible for providing the Executive Board a Financial Report, including anticipated costs and expected income, for their respective sport, prior to the commencement of that sport each year. Following acceptance of the Financial Report, the authority for the expenditure of any organization money shall be at the discretion of the respective sport’s Commissioner, and is reviewed quarterly by the Executive Board. No general funds will be spent or allocated without approval of the Executive Board and final approval by vote of the membership.
Vacancies among elective offices, other than the President, shall be filled by a majority vote of the membership.
Article IX: The meetings of the organization shall be held the first Monday of the following months: February, May, August and November at 7:00pm, at an available Dansville meeting location. Meeting location will be published in advance on the DCAA12 website.
Article X: Robert’s Rules of Order, newly revised, shall be the parliamentary authority for all matters of procedure not specifically covered by the Constitution and By-Laws of this organization.
Article XI: Amendments to these by-laws may be presented at any regular meeting. A 2/3-majority vote of the members present will be necessary to amend these by-laws.
Article XII: The President, as necessary, can call special meetings.
Article XIII: The commissioners shall set the costs for children participating in various sports programs supported by the Association. In all sports sponsored by the organization, each “head” coach shall be allowed to have one of their children participate at no cost in that season.
Article XIV: Upon dissolution of the Dansville Community Athletic Association, the assets will be donated to a local tax exempt or charitable organization as voted upon by the membership present at the final meeting.
Article XV: Any officer may be removed from his/her office by a 2/3-majority vote of eligible members present at a regularly scheduled meeting. However, it shall require a majority vote at the previously scheduled regular meeting to call for such a vote. Any voting conducted under this Article shall be by secret ballot.
